HOUSTON, Dec. 20 /PRNewswire-FirstCall/ -- Amstar Financial Holdings, Inc. (OTC Pink Sheets: AFLH - News; AFLH), formerly known as Premier Organic Farms Group, Inc. (formerly POFG.PK), announces that it has consummated its reverse merger with Amstar International, Inc. The Nevada Court, which held the Fairness Hearing on December 18, 2006, found the terms of the Acquisition Agreement between AFLH and Amstar International to be fair to the shareholders receiving shares pursuant to the Petition for Fairness Hearing and the Acquisition Agreement. Newly issued shares of AFLH will be exchanged on a one-for-one basis for all of the shares currently issued and outstanding to Amstar International shareholders, resulting in Amstar International becoming a wholly-owned subsidiary of AFLH.

Amstar's major subsidiary is Amstar Mortgage Corporation; a national mortgage banking and brokering company. Amstar currently employs approximately 700 persons and is licensed to operate in 31 states and the District of Columbia through approximately 140 retail branch offices throughout the nation. Amstar Mortgage Corporation is approved to originate FHA, VA Rural Development loans along with conventional and sub-prime mortgage loans. It is approved to sell loans to over 250+ Banks, Insurance Companies, Mortgage Bankers and mortgage investors throughout the nation.
